The first, "Open Older Documents As Untitled" helps prevent accidentally overwriting the old file, but forces you to enter a new file name when you save. I highly recommend saving a copy of the 2002 files somewhere; then opening the copies with that checkbox UNchecked lets you simply save over the old ones (the copies).
Unchecking the second checkbox makes it so you don't have to click OK on each conversion dialog that pops up.
